Affiliate Referral Program Terms & Conditions

LIVE OAK DIGITAL, LLC dba Snapspaces, an LLC registered in and under the laws of the Commonwealth of Virginia (hereinafter referred to as the “Company” and/or “SnapSpaces” ).

By participating in any Affiliate or Referral program, you are agreeing to be bound by the Terms and Conditions herein (hereinafter referred to as “you” and/or “Affiliate”).

1. Background:

The Company has a product or service listed on SnapSpaces website it wishes to promote through various marketing channels, including social media, and other professional network Channels. The Company wishes to engage the Affiliate’s network to promote its product or services.

2. Terms of Engagement:

2.1 Promotion: The Affiliate agrees to promote the Company’s products sold on SnapSpaces web application through the Affiliate’s Social Media Platform or Real-word professional network. The Affiliate will be considered in breach of contract, and forfeit any and all Revenue Shares if they are found to be promoting direct competitors of SnapSpaces. A Direct Competitor is defined as any internet based app or website that offers photo of video content collection utilizing a QR code as a means of accessing the content collection/upload features. 

2.2 Revenue Share: In consideration for the promotion services rendered by the Affiliate, the Company agrees to pay the Influencer a share of the revenue generated as a direct result of the promotional activities, as tracked via use of the Affiliates promotional discount code at checkout when purchasing product(s) from SnapSpaces. The revenue share will be calculated in accordance with the structure of the Affiliate Portal (3.1) campaign the Affiliate is participating in. 

As an example, for a campaign sharing 10% of the net sales generated through the Affiliate’s unique discount promo code, sample calculations of Affiliate’s revenue share is as follows:

2.3 Payment: Revenue share payments will be made on a monthly basis, within 45 days of the end of each month, for payout balances greater than or equal to $100. Payments will be made via PayPal to Affiliate’s PayPal account within United States of America. If the affiliate cannot provide a United States PaPal account to receive funds, the Company cannot and shall not pay you. 

3. Reporting and Transparency:

3.1 Performance Reports: The Company will provide the Affiliate with access to an affiliate portal at https://affiliates.snapspaces.com/ (if this URL changes it will be updated here) where they can see their current status, earning, and progress.

3.2 Tracking: The Affiliate shall use the unique promo code provided by the Company to ensure accurate tracking of sales.

4. Term and Termination:

4.1 Term: This Agreement shall commence on Commencement Date and shall continue until terminated by either party with written notice. 

4.2 Termination: Either party may terminate this Agreement with 30 days written notice, with or without cause. In the event of a material breach of this Agreement, either party may terminate it immediately.

4.3 Notice: Notice will be consider given the next business day after notifying the Affiliate at their email address used in conjunction with their Affiliate portal account. Notice will be considered given to the Company the next business day after notifying the Company via email at hello@snapspaces.co. 

5. Confidentiality:

The Affiliate shall keep all information and details related to this Agreement, the Company, it’s sales strategies, earnings, or any other information reasonably deemed private in nature, confidential.

6. Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia.

7. Entire Agreement:

This Agreement constitutes the entire agreement between the Company and the Affiliate and supersedes any prior understandings, representations, or agreements.
